We are looking for an outstanding legal professional to join our fast-growing team as a Senior Counsel, Contracts & Partnerships. You will advise on, negotiate and manage a variety of contractual matters and issues, including the setting-up of a Contracts Management function within the Legal department. Responsibilities

  • Partner closely with internal teams, including other parts of the Legal & Compliance department, the Institutional business as well as other internal business stakeholders to proactively address and resolve contractual matters in line with the company’s objectives.
  • Review, draft, revise, negotiate and advise on key business contracts for various types of arrangements, including alliances and strategic relationships, product and service integrations, client services, and service provider and vendor arrangements.
  • Support merger and acquisition transactions and other strategic corporate development transactions, including contracts due diligence, document preparation, closing mechanics, and post-closing integration and administration.
  • Help define procedures and practices within Legal to promote efficient workflows and handling of contractual matters, including the signing authority protocol for our various entities and execution processes.
  • Set up a Contracts Management function to drive better and more efficient results across the business and to foster relationships (internally and with a broad range of counterparties).
  • Proactively identify, analyze and mitigate risks.
  • Liaise with external counsel as necessary.

Requirements

  • JD/law degree and bar admission in at least one U.S. state or the UK.
  • 8+ years relevant experience; in-house experience strongly preferred.
  • Proven high-performing legal experience in an in-house environment.
  • Ability to work well under pressure with diligence, organization, and minimal supervision, and provide practical, business-friendly advice to clients.
  • Strong analytical and strategic thinking skills and excellent judgment; ability to drive issues to a quick resolution that factors in many non-legal variables, such as brand-risk, communications, government relations, tax, insurance, finance and other business units.
  • Ability to manage a diverse and complex workload while maintaining priorities and proactively anticipating issues, particularly in a fast-paced corporate setting.
  • Ability to anticipate legal issues or risks and to build the processes and systems to proactively address them.
  • First class interpersonal and communication skills.
  • Track record of proactively building and maintaining productive relationships with business and corporate functional leaders.
  • High degree of professional ethics and integrity.
