Responsibilities
Strategic Leadership & Corporate Governance:
- Lead and manage all corporate governance matters for Startup Wise Guys entities, including new incorporations, company secretarial duties, board liaison, and corporate filings.
- Provide strategic legal advice to senior management on a wide range of matters, including risk mitigation, regulatory compliance, and corporate strategy.
Investment Lifecycle Management:
- Oversee all legal aspects of the investment lifecycle, from conducting thorough due diligence on potential investments to negotiating and closing new deals.
- Provide ongoing legal support and strategic counsel to portfolio companies, assisting with their legal challenges and growth.
- Manage the legal workflows and documentation for all investment activities, ensuring accuracy and consistency.
Fund Management & Compliance:
- Lead the legal workstreams for fund formation and management, including the review and negotiation of fund documentation such as limited partnership agreements and side letters.
- Develop, implement, and manage the firm's compliance framework, ensuring adherence to all relevant laws and regulations.
- Oversee KYC/AML reviews for investors and portfolio companies.
Commercial & Operational Support:
- Draft, review, and negotiate a variety of commercial agreements, including vendor contracts, employment agreements, and IP-related documents.
- Provide expert advice on data privacy, intellectual property, and other day-to-day operational legal matters.
- Manage external legal counsel effectively to ensure high-quality and cost-efficient legal support when needed.
Requirements
Our ideal candidate will possess:
- A Bachelor’s degree in Law or higher.
- At least 2 years of full-time legal experience, with proven experience in a legal role within a VC firm or a high-growth technology company.
- Strong experience in managing compliance and regulatory matters in the financial services industry.
- Strong knowledge of Estonian corporate law.
- A deep passion for early-stage technology, venture capital, and supporting a founder-first ecosystem.
- Strong analytical, critical thinking, and problem-solving abilities with a knack for innovative solutions.
- Excellent written and verbal communication skills, with the ability to articulate complex legal issues clearly and concisely.
- High level of integrity, professional ethics, and sound judgment.
- A proactive and independent work ethic, combined with a collaborative, team-oriented mindset.
